BuildersPass Terms of Service

Language Disclosure / Aviso de Idioma

English is the official language of BuildersPass for all contracts, terms, compliance documents, and legally binding communications. Any Spanish translation provided on this platform is offered as a courtesy (cortesía) only and is not legally binding. In the event of any conflict or discrepancy between the English and Spanish versions of any document, term, or communication, the English version shall govern and prevail. / El inglés es el idioma oficial de BuildersPass para todos los contratos, términos, documentos de cumplimiento y comunicaciones legalmente vinculantes. Cualquier traducción al español proporcionada en esta plataforma se ofrece únicamente como cortesía y no es legalmente vinculante. En caso de conflicto o discrepancia entre la versión en inglés y la versión en español de cualquier documento, término o comunicación, prevalecerá la versión en inglés.

1. Acceptance of Terms

By applying for and maintaining a BuildersPass membership you agree to these Terms of Service. If you do not agree do not apply.

2. Membership & Fees

• Annual membership fees are due at signup and on each renewal date.
• Fees are non-refundable once credential verification has begun.
• BuildersPass reserves the right to change membership fees with 60 days notice.
• Charter Founding Member rate of $500/year is locked for life as long as membership remains active without lapse.

3. Credential Verification

• BuildersPass verifies credentials as of the date of review only.
• Members are responsible for keeping all credentials current.
• BuildersPass does not guarantee that verified credentials remain valid after the verification date.
• Expired credentials will result in verified badge suspension until renewal is confirmed.
• Submitting false, expired, or fraudulent documents results in immediate termination without refund.

4. Member Conduct

• Members may not misrepresent their BuildersPass status.
• Members may not use the BuildersPass badge or verified status for projects outside the scope of their verified credentials.
• Members may not transfer their membership or profile to another individual or entity.

5. Directory Listing

• BuildersPass reserves the right to remove any listing that violates these terms.
• Verified status does not constitute an endorsement by BuildersPass.
• GCs and agencies use the directory at their own discretion and must perform their own due diligence.

6. Limitation of Liability

• BuildersPass is not liable for any contract disputes, project failures, or damages arising from connections made through the platform.
• BuildersPass is not liable for any decisions made by GCs or agencies based on verified profiles.
• Total liability is limited to the membership fees paid in the 12 months preceding any claim.

7. Non-Solicitation

• Members may not use the BuildersPass directory to directly solicit other members for competing credentialing services.
• Members may not scrape, copy, or export the directory for any purpose other than direct project contracting.

8. Termination

• BuildersPass reserves the right to terminate any membership for violation of these terms.
• Members may cancel at any time — cancellation takes effect at end of current paid period.
• No refunds are issued for early cancellation.

9. Governing Law

• These Terms are governed by the laws of the State of Florida.
• Any disputes are subject to binding arbitration in Orange County, Florida under AAA rules.
• Prevailing party is entitled to reasonable attorneys fees.

10. Changes to Terms

• BuildersPass reserves the right to update these Terms at any time.
• Members will be notified by email 30 days before material changes take effect.
• Continued use of the platform after changes constitutes acceptance.
